Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and RevStx LLC ("RevStx," "we," "our," or "us"), a Revenue Operations Execution Firm.
By accessing our website at revstx.com, submitting an inquiry, executing a Statement of Work, or engaging RevStx for any service, you agree to be bound by these Terms in full. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use our website or engage our services. Continued use after any posted update constitutes acceptance of the revised Terms.
These Terms apply to all website visitors, prospective clients, and active clients. Executed service agreements and Statements of Work ("SOW") are incorporated by reference and, in the event of a conflict with these Terms, the executed SOW governs.
Use of the Services is also subject to our Acceptable Use Policy, Privacy Policy, and Cookie Policy, each of which is incorporated into these Terms by reference.

Eligibility
RevStx's services are available exclusively to business entities and their authorized representatives. To engage RevStx, you must:
- Be a duly organized legal entity (corporation, LLC, partnership, or sole proprietor operating under a registered business)
- Be at least 18 years of age and have the legal capacity to enter binding contracts
- Have the authority to bind your organization to these Terms
- Operate in an industry or sector consistent with RevStx's service verticals or otherwise approved in writing by RevStx
- Not be subject to sanctions, debarment, or regulatory restrictions that would prohibit engagement with a US-based service provider
RevStx reserves the right to decline any engagement at its sole discretion, including but not limited to prospective clients whose business practices, industry, or use case conflicts with RevStx's values, legal obligations, or risk tolerance.
Client Engagements
All RevStx service engagements are governed by a written Statement of Work executed by both parties. No work commences until a SOW is signed and an initial payment is received (where applicable).
Statements of Work
Each SOW will specify: scope of services, deliverables, timeline, fees and payment schedule, client responsibilities, and any service-specific terms. SOWs are binding addenda to these Terms.
Client Responsibilities
Client agrees to provide RevStx with timely access to the systems, credentials, data, and personnel necessary to perform the agreed services. Delays caused by Client's failure to provide required access, approvals, or information may result in adjusted timelines and are not the responsibility of RevStx. Specifically, Client agrees to:
- Designate a primary point of contact with decision-making authority for the engagement
- Provide administrative or appropriate-level access to CRM platforms, marketing tools, and data sources as required by the SOW
- Review and approve deliverables within the timeframes specified in the SOW
- Ensure all contact lists, lead data, and outreach targets comply with applicable laws prior to delivery to RevStx
- Communicate material changes to business context, systems, or personnel that may affect service delivery
Change Orders
Any changes to the scope of work must be documented in a written change order executed by both parties. RevStx is not obligated to perform work outside the agreed SOW scope without a signed change order. Verbal approvals do not constitute binding scope changes.
Subcontractors
RevStx may engage qualified subcontractors or specialists to perform portions of the agreed services. RevStx remains responsible for subcontractor performance and ensures subcontractors are bound by confidentiality obligations consistent with these Terms.
Fees & Payment
Fees for RevStx services are as specified in each executed SOW. Unless otherwise stated in the SOW:
Payment Terms
- Invoices are due within 15 days of the invoice date
- Project-based engagements may require a deposit (typically 50%) prior to work commencement
- Retainer-based engagements are billed monthly in advance
- All fees are quoted and payable in US Dollars
Late Payment
Invoices unpaid after 15 days are subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower. RevStx reserves the right to suspend active work on any engagement with a past-due balance until payment is received.
Disputed Invoices
Client must notify RevStx in writing of any invoice dispute within 7 days of receipt. Undisputed portions of invoices remain due on the standard payment schedule. RevStx will work in good faith to resolve billing disputes within 14 business days.
Taxes
Fees are exclusive of applicable taxes. Client is responsible for all sales, use, value-added, withholding, or similar taxes arising from the engagement, except for taxes on RevStx's net income. If RevStx is required to collect such taxes, they will be added to the applicable invoice.
Refunds
All fees paid are non-refundable except as expressly stated in the SOW or where RevStx fails to deliver the agreed services due to RevStx's own breach. Partial completion of a project does not entitle Client to a prorated refund unless specified in the SOW.
The RevOps Audit Sprint is a fixed-fee, time-boxed diagnostic engagement. Payment is due in full prior to commencement. The audit deliverable — findings report, priority matrix, and recommendations — constitutes full delivery of the service upon handoff.
Subscription Plans
Phone reputation management and other services offered on a monthly plan (for example, Starter, Growth, and Scale tiers) are governed by these additional terms unless the applicable order form states otherwise:
- The one-time setup fee is payable before onboarding begins and is non-refundable once number audits, registrations, or provider account setup have started.
- Monthly plan fees are billed in advance on the same calendar day each month and renew automatically until cancelled.
- Either party may cancel a monthly plan with 30 days' written notice. Fees already billed for the current period are not refunded; services continue through the end of the paid period.
- Plan tiers are based on the number of sales representatives and calling volume stated at signup. If Client's usage exceeds the tier, RevStx may move Client to the appropriate tier effective the next billing period after written notice.
- Third-party per-call or per-seat charges (including branded-call fees from providers such as Hiya) that exceed the allowance included in a tier are passed through at cost plus any handling fee stated in the order form.
- Cancellation does not automatically remove carrier registrations, registry submissions, or branded caller ID profiles. Client may request removal or transfer of those registrations in writing; RevStx will complete reasonable transfer steps within 10 business days.
Intellectual Property
RevStx IP
RevStx retains all rights, title, and interest in its proprietary methodologies, frameworks, playbooks, templates, tools, software, and pre-existing intellectual property ("RevStx IP"), regardless of whether such materials are used in the delivery of Client services. Nothing in these Terms or any SOW transfers ownership of RevStx IP to Client.
Client is granted a limited, non-exclusive, non-transferable license to use RevStx IP solely as configured and delivered within Client's own systems for Client's internal business purposes during and after the engagement, subject to payment in full.
Client IP & Deliverables
Upon full payment of all fees, RevStx assigns to Client all rights in the custom deliverables specifically created for Client under an SOW ("Client Deliverables"), to the extent such deliverables do not incorporate RevStx IP. Where Client Deliverables incorporate RevStx IP, Client receives a license as described above.
Website Content
All content on revstx.com — including text, graphics, design, logos, and copy — is the exclusive property of RevStx LLC and protected by applicable copyright and trademark law. Unauthorized reproduction, distribution, or use is strictly prohibited.
Feedback
If Client provides feedback, suggestions, or recommendations regarding RevStx's services or methodologies, RevStx may use such feedback freely without obligation or compensation to Client.
Confidentiality
Each party acknowledges that in the course of the engagement, it may receive non-public, proprietary, or confidential information from the other party ("Confidential Information"). Both parties agree to:
- Hold all Confidential Information in strict confidence using no less care than they apply to their own confidential materials (and in no event less than reasonable care)
- Use Confidential Information solely for the purpose of performing or receiving the services under the applicable SOW
- Disclose Confidential Information only to employees, contractors, or agents who need to know it and are bound by obligations at least as protective as these Terms
- Not disclose Confidential Information to any third party without prior written consent of the disclosing party
Exclusions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice to the disclosing party and cooperates in seeking a protective order.
Duration
Confidentiality obligations survive termination or expiration of the engagement for a period of 3 years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.
Prospective clients may request a standalone Mutual Non-Disclosure Agreement prior to sharing sensitive business information during the discovery phase. Contact hello@revstx.com to request one before an SOW is executed.
Data & Systems Access
RevStx's services frequently require access to Client's CRM platforms, marketing automation systems, contact databases, and related infrastructure. The following terms govern such access:
Authorization
By granting RevStx access to any system, Client warrants that it has full authority to grant such access and that doing so does not violate any applicable agreement, license, or law.
Scope of Access
RevStx will access Client systems only to the extent necessary to perform the agreed services. Access credentials provided by Client will not be shared with unauthorized personnel or used for any purpose outside the engagement scope.
Data Accuracy
RevStx is not responsible for the accuracy, completeness, or legality of data provided by Client. RevStx performs services on data as provided and does not independently verify the validity of contact records, lead sources, or consent status. Client bears sole responsibility for the quality and lawfulness of its data.
Backup & Recovery
Client is responsible for maintaining adequate backups of all CRM data and system configurations prior to and during the RevStx engagement. RevStx exercises professional care but is not liable for data loss resulting from CRM configuration changes, platform errors, or third-party system failures.
Security Incidents
RevStx will promptly notify Client of any known or suspected unauthorized access to Client systems resulting from RevStx's actions. Both parties agree to cooperate in good faith on any incident response required.
Regulatory Compliance
RevStx operates at the intersection of sales technology and heavily regulated financial services industries. The following compliance allocations apply:
Client's Compliance Obligations
Client is solely responsible for ensuring its business practices, outreach campaigns, lead sources, and use of RevStx-configured systems comply with all applicable laws and regulations, including but not limited to:
- TCPA (Telephone Consumer Protection Act) — consent requirements for calls and SMS
- CAN-SPAM Act — commercial email compliance requirements
- RESPA (Real Estate Settlement Procedures Act) — applicable to mortgage industry clients
- GLBA (Gramm-Leach-Bliley Act) — financial data privacy applicable to mortgage, insurance, and wealth clients
- State insurance regulations — licensing, marketing, and solicitation rules applicable in each state of operation
- SEC / FINRA regulations — applicable to wealth management and investment advisory clients
- CCPA / state privacy laws — consumer data rights in applicable jurisdictions
- DNC Registry — Do Not Call compliance for outbound dialing
RevStx's Role
RevStx configures and optimizes systems and processes as directed by Client. RevStx is not a licensed attorney, compliance officer, or regulatory advisor. Nothing RevStx provides constitutes legal, compliance, or regulatory advice. Client should engage qualified legal counsel to validate that any RevStx-configured workflow or campaign complies with applicable regulations before deployment.
RevStx will not knowingly configure systems for outreach to contacts lacking required consent. However, verifying the lawfulness of Client's contact lists and consent records is Client's responsibility. RevStx disclaims liability for regulatory actions, fines, or claims arising from Client's non-compliant data or business practices.
Warranties & Disclaimers
RevStx's Limited Warranty
RevStx warrants that it will perform services in a professional and workmanlike manner consistent with industry standards. If any deliverable materially fails to conform to the agreed SOW specifications, Client must notify RevStx in writing within 14 days of delivery. RevStx's sole obligation is to use commercially reasonable efforts to correct the non-conforming deliverable at no additional charge.
Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY SET FORTH ABOVE, REVSTX PROVIDES ALL SERVICES AND DELIVERABLES "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. REVSTX EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Guarantee of Results
RevStx does not warrant or guarantee specific business outcomes including lead volume, conversion rates, revenue growth, inbox placement rates, call answer rates, or CRM performance improvements. RevStx's services are professional execution services — results depend on numerous factors outside RevStx's control, including market conditions, Client's sales team performance, data quality, and platform behavior.
Caller ID, Spam Labels & Number Reputation
Where Services include branded caller ID, carrier and registry registration, STIR/SHAKEN attestation, CNAM correction, spam-label disputes, or ongoing number monitoring, Client acknowledges that call labeling decisions are made independently by wireless carriers and their analytics partners (including Hiya, TNS, and First Orion) using proprietary algorithms that change without notice. RevStx does not control those algorithms and no provider can. RevStx therefore does not guarantee that any number will be labeled in a particular way, that an existing label will be removed within a specific period, or that a number will remain unlabeled permanently.
What RevStx commits to is proactive monitoring of registered numbers, submission of disputes and re-registrations within the timeframes stated in the SOW, and measurement and reporting of answer-rate performance before and after remediation. Remediation obligations are conditioned on Client following the calling standards in our Acceptable Use Policy and the calling behavior rules delivered at onboarding. Labels resulting from calling patterns that violate those standards are outside the scope of remediation.
Branded caller ID and reputation services are delivered through third-party providers such as Hiya Connect. Their availability, per-call pricing, verification requirements, and terms may change. Where a provider suspends, re-verifies, or reprices a service, RevStx will notify Client and, if required, issue a change order. Client remains responsible for the accuracy of all business verification information submitted on its behalf.
Third-Party Platforms
RevStx is not responsible for the availability, functionality, pricing changes, or policy updates of third-party platforms (Salesforce, HubSpot, GoHighLevel, Twilio, etc.) used in service delivery. Changes to third-party platforms that require additional configuration work may constitute a change order.
Limitation of Liability
This section materially limits RevStx's liability. By engaging RevStx, you acknowledge and agree to these limitations.
Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVSTX'S TOTAL CUMULATIVE LIABILITY TO CLIENT FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SOW — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO REVSTX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Exclusion of Consequential Damages
IN NO EVENT SHALL REVSTX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF REVSTX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Essential Basis
The parties acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between the parties. RevStx would not enter into any SOW without these limitations.
Exceptions
The above limitations do not apply to: (a) Client's payment obligations; (b) either party's indemnification obligations under Section 12; (c) breaches of confidentiality obligations; or (d) damages resulting from a party's gross negligence, willful misconduct, or fraud.
Indemnification
Client Indemnification of RevStx
Client agrees to indemnify, defend, and hold harmless RevStx and its members, managers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Client's violation of any applicable law, including TCPA, CAN-SPAM, GDPR, CCPA, or financial services regulations
- Client's use of RevStx-configured systems in a manner inconsistent with agreed scope or applicable law
- The content, accuracy, or legality of data, contact lists, or materials provided by Client to RevStx
- Any third-party claim arising from Client's business operations, outreach campaigns, or marketing activities
- Client's breach of these Terms or any executed SOW
RevStx Indemnification of Client
RevStx agrees to indemnify, defend, and hold harmless Client from and against claims alleging that RevStx's proprietary deliverables (excluding Client-provided content) infringe a third party's intellectual property rights, provided that Client promptly notifies RevStx of the claim and cooperates in the defense.
Indemnification Process
The indemnified party must: (a) promptly notify the indemnifying party in writing of any claim; (b) grant the indemnifying party sole control of the defense and settlement; and (c) provide reasonable cooperation. The indemnifying party may not settle any claim in a manner that imposes liability on the indemnified party without prior written consent.
Termination
Termination for Convenience
Either party may terminate an active SOW for convenience with 30 days' written notice to the other party, unless the SOW specifies a different notice period. Upon termination for convenience by Client, Client remains obligated to pay for all work completed and expenses incurred through the effective termination date. No refund of pre-paid fees is owed for work already performed.
Termination for Cause
Either party may terminate an SOW immediately upon written notice if the other party:
- Materially breaches these Terms or the SOW and fails to cure such breach within 10 business days of written notice
- Becomes insolvent, makes an assignment for the benefit of creditors, or is subject to bankruptcy proceedings
- Engages in fraud, willful misconduct, or criminal activity related to the engagement
If RevStx terminates for Client's cause, all outstanding fees become immediately due and payable. If Client terminates for RevStx's cause, Client is entitled to a prorated refund of prepaid fees for unperformed work.
Effect of Termination
Upon termination: (a) RevStx will provide Client with any completed deliverables through the termination date; (b) each party will return or destroy the other's Confidential Information upon request; (c) Client's access to any RevStx tools or templates ceases immediately; and (d) provisions of these Terms that by their nature should survive will survive, including Sections 6, 7, 10, 11, 12, and 14.
Dispute Resolution
Informal Resolution
Before initiating any formal dispute process, the parties agree to attempt good-faith resolution through direct negotiation. The party with a dispute must provide written notice describing the nature of the dispute in reasonable detail. The parties will have 30 days from such notice to resolve the dispute informally before either party may initiate formal proceedings.
Governing Law
These Terms and any SOW are governed by the laws of the State of [State], without regard to its conflict of law principles. [Note to RevStx: insert your state of formation/operation before publishing.]
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or any SOW that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator in [City, State], or remotely by mutual agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES.
Exception: Injunctive Relief
Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including but not limited to breaches of confidentiality or intellectual property obligations.
General Provisions
Entire Agreement
These Terms, together with any executed SOWs and incorporated policies (including the Privacy Policy), constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior negotiations, representations, or agreements, whether written or oral.
Amendments
RevStx may update these Terms at any time by posting the revised version at revstx.com/terms-of-service. Material changes will be communicated to active clients via email with at least 14 days' notice. Continued use of services after the effective date constitutes acceptance. SOW terms may only be modified by a written change order signed by both parties.
Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right. No waiver of any breach shall be deemed a waiver of any subsequent breach.
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, government actions, cyberattacks, widespread internet outages, or pandemics, provided the affected party gives prompt written notice and uses commercially reasonable efforts to resume performance.
Independent Contractors
RevStx and Client are independent contractors. Nothing in these Terms creates an employment relationship, partnership, joint venture, agency, franchise, or sales representative relationship between the parties. Neither party has the authority to bind the other to any obligation.
No Third-Party Beneficiaries
These Terms are for the sole benefit of RevStx and Client, and nothing herein confers any rights or remedies upon any third party.
Assignment
Client may not assign these Terms or any SOW without RevStx's prior written consent. RevStx may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to Client. Any purported assignment in violation of this section is void.
